BACKGROUND
Whereas the Consultant will provide access to the High Ticket Authority program
Whereas the Client will compensate the Consultant for said services.
Whereas the Agreement is binding.

TERMS
The Client will receive self-paced course modules online. It is the Client’s responsibility to watch these trainings, bring their knowledge with them and execute what is taught in the program on their own time for the best results.
The Client is of the opinion that the Consultant has the necessary qualifications, experience and abilities to provide services to the client.

The Consultant is agreeable to providing such services to the Client on the terms and conditions set out in this Agreement.

Consulting and coaching, which is not advice, therapy or counseling, may address specific business successes, or general conditions in the client’s life or profession. If the Client feels the need for psychological help or therapy, it is the Client’s responsibility to seek out that professional help.
Missed or no shows for the program will result in a forfeiture of the program fee. Inactive participation will not result in a refund. There is no ability to pause, move or start the program at a later date if the Client chooses to not participate.
Consulting access will begin immediately upon purchase.
SERVICES PROVIDED
The Consultant will provide the Client with best social media and content strategy practices, marketing strategy and trainings based on prior experience and knowledge.

PERFORMANCE
The Parties agree to do everything necessary to ensure that the terms of this Agreement take effect.

COMPENSATION
The Consultant will charge the Client for the Services at the rate mutually agreed upon (the “Compensation”).

The Client will pay the Compensation upon the checkbox of Terms & Conditions.

Any Compensation paid towards the program is non-refundable.

The Compensation as stated in this Agreement does not include sales tax, or other applicable duties as may be required by law. Any sales tax and duties required by law will be charged to the Client in addition to the Compensation.
CONFIDENTIALITY
Confidential information (the “Confidential Information”) refers to any data or information relating to the business of the Client which would reasonably be considered to be proprietary to the Client including, but not limited to, accounting records, business processes, and client records and that is not generally known in the industry of the Client and where the release of the Confidential Information could reasonably be expected to cause harm to the Client.

The Consultant agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any confidential information which the Consultant has obtained, except as authorized by the Client or as required by law. The obligations of confidentiality will apply during the term of this Agreement and will survive indefinitely upon termination of this Agreement.
OWNERSHIP OF INTELLECTUAL PROPERTY
All intellectual property and related material, including any trade secrets, moral rights, goodwill, relevant registrations or applications for registration, and rights in any patent, copyright, trademark, trade dress, industrial design and trade name (the “Intellectual Property”) that is developed or produced under this Agreement, will be the sole property of the Consultant.

The Client may not use the Intellectual Property for any purpose other than that contracted for in this Agreement except with the written consent of the Consultant. The Client will be responsible for any and all damages resulting from the unauthorized use of the Intellectual Property.
The Client agrees to not disclose, share, record, copy or post information received in the program.
Copying any examples given by the Consultant in the program such as posts, emails, words, language or trainings from Consultant’s marketing examples is a breach of contract.

INDEMNIFICATION
Except to the extent paid in settlement from any applicable insurance policies, and to the extent permitted by applicable law, each Party agrees to indemnify and hold harmless the other Party, and its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount whatsoever, which result from or arise out of any act or omission of the indemnifying party, its respective directors, shareholders, affiliates, officers, agents, employees, and permitted successors and assigns that occurs in connection with this Agreement. This indemnification will survive the termination of this Agreement.
TIME OF THE ESSENCE
Time is of the essence in this Agreement. No extension or variation of this Agreement will operate as a waiver of this provision.
ENTIRE AGREEMENT
It is agreed that there is no representation, warranty, collateral agreement or condition affecting this Agreement except as expressly provided in this Agreement.
ENUREMENT
This Agreement will ensure to the benefit of and be binding on the Parties and their respective heirs, executors, administrators and permitted successors and assigns.
TITLES/HEADINGS
Headings are inserted for the convenience of the Parties only and are not to be considered when interpreting this Agreement.
GENDER
Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa.
GOVERNING LAW
This Agreement will be governed by and construed in accordance with the laws of the Province of British Columbia.
SEVERABILITY
In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.
REFUNDS AND GUARANTEES
There are no refunds or guarantees on any consulting, coaching, or courses delivered by Consultant.

If there is a problem with payment at any time, any program or course material will be removed from the Client’s access immediately and without refund. This also includes future calls, Zoom, Voxer or future consulting.
The Client will receive no refund due to failure to complete the program, finding the program not meeting their needs or any other reason the Client feels they do not have the ability to continue their work with Consultant. The Consultant will consider a refund IF the Client has completed Modules 1 and 2, completed the homework and posted content, send their insights metrics and don't see an increase or feel confident and clear within 7 days of purchase.
LIABILITY WAIVER
The Consultant is not liable for advice given, money invested, content created or lack of result due to implementation of strategies and best practices. Clients are advised to use their own judgment when doing business online.
Consultant is not liable for lack of results due to poor implementation for the social media strategies, lack of consistency, an unengaged audience, lack of personal action etc. Client understands that sales take time, consistency and long efforts that extend beyond the Consulting program.
Consultant does not offer lifetime access to content due to the nature of changing online marketplace. If material is no longer applicable, becomes outdated, the modules will be deleted and removed from access. Consultant guarantees paid-in-full access to the program during the duration of the dates outlined in contract and access to program until they need updating or are no longer publicly sold at the full discretion of the CEO.
